1. Acceptance of Terms

By creating an account, accessing, or using AI Matterz ("Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

2. Account Registration & User Types

A. General Account Requirements

• You must be at least 18 years old or the legal age of majority in your jurisdiction to create an account.
• You are responsible for maintaining the confidentiality of your credentials and all activities occurring under your account.

B. User Roles

• Learners / Buyers: Users who enroll in Academy courses, access tutorials, or purchase digital assets, n8n blueprints, and AI tools.
• Creators / Sellers: Users who submit, list, and monetize custom automation workflows, prompt packages, and AI agent blueprints on the Marketplace.
• Enterprise Teams: Organizations utilizing workspace features for internal team deployment and automation management.

3. Marketplace Terms & Licensing

A. Digital Product Licenses

When you purchase or download a blueprint, n8n workflow, or AI tool from the AI Matterz Marketplace:

• You receive a non-exclusive, non-transferable, worldwide license to deploy and execute the workflow for personal or internal business use.
• You may not resell, redistribute, sub-license, or re-package downloaded blueprints or source code as standalone digital assets on third-party platforms.

B. Creator Submissions & Intellectual Property

• Creators retain ownership of original code, prompt logic, and workflow architectures submitted to the platform.
• By listing an asset, Creators grant AI Matterz a global license to host, display, market, and distribute the asset to verified buyers.
• All submitted assets undergo quality review. AI Matterz reserves the right to reject or remove listings that contain malicious scripts, non-functional code, or copyright infringements.

4. Payments, Royalties & Refunds

A. Buyer Payments

All transactions are processed securely via third-party payment providers (e.g., Stripe). Prices for courses and marketplace items are set in USD or localized currencies.

B. Creator Payouts & Commission

• Marketplace sales earn Creators royalties according to the agreed fee schedule displayed in the Creator Dashboard.
• Payouts are processed on a recurring schedule subject to verification and refund period holdbacks.

C. Refund Policy

• Due to the digital nature of downloadable blueprints and instantly accessible course materials, sales are generally final.
• Refunds may be granted at our discretion if a purchased workflow is proven non-functional, broken, or materially different from its listing description, and the seller fails to provide a fix within 7 business days.

5. Prohibited Conduct

You agree not to:

• Upload, share, or execute workflows designed for malware deployment, unauthorized data scraping, spam generation, or illegal activities.
• Attempt to reverse-engineer, export, or bypass platform security features or payment gateways.
• Misrepresent your identity, studio name, or affiliate credentials on your public profile.

6. Intellectual Property Rights

All platform branding, custom UI designs, logos, software infrastructure, and proprietary documentation belonging to AI Matterz are protected by international trademark, copyright, and intellectual property laws. You may not use our branding without prior written consent.

7. Limitation of Liability & Disclaimers

• "As-Is" Service: AI Matterz, courses, and marketplace blueprints are provided on an "AS IS" and "AS AVAILABLE" basis. While we verify creator listings, we do not guarantee uninterrupted server uptime or error-free execution of third-party APIs (e.g., OpenAI, Claude, n8n nodes).
• Limitation of Liability: To the maximum extent permitted by law, AI Matterz shall not be liable for any indirect, incidental, or consequential damages resulting from lost data, API downtime, or execution errors in third-party workflows.

8. Termination & Account Suspension

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraud, or infringe upon the intellectual property rights of others without prior notice.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable legal frameworks. Any legal disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration or competent courts.
